These Terms of Service (“Terms”) govern your use of the BuyersDirect™ website at buyersdirect.co (the “Site”) and the BuyersDirect membership service (the “Service”), operated by Buyer Direct Profile LLC, 16192 Coastal Highway, Lewes, Delaware 19958 (“BuyersDirect”, “we”, “us”). By creating an account, purchasing a membership, or using the Site, you agree to these Terms. If you do not agree, do not use the Service.
1. What the Service Is
BuyersDirect is a membership portal that gives product suppliers access to a directory of independent retail buyers and the ability to present products to those buyers. BuyersDirect is a platform and information service only. We do not buy, sell, stock, or ship products, we are not a party to any transaction between a supplier and a buyer, and we do not guarantee that any buyer will review, respond to, or purchase any product.
2. Eligibility and Accounts
You must be at least 18 years old and using the Service for business purposes. You are responsible for keeping your login credentials confidential and for all activity under your account. Accounts are for a single business and may not be shared, resold, or transferred. You must provide accurate account and payment information and keep it current.
3. Membership Plans and Billing
Membership is offered on a monthly plan ($39.95 per month) and an annual plan ($299.95 per year). Prices are in U.S. dollars and may change with notice; changes take effect at your next renewal.
Automatic renewal. Memberships renew automatically at the end of each billing period, and the payment method on file will be charged the then-current plan price, until you cancel. By purchasing a membership you authorize these recurring charges.
Payment processing. Payments are processed by Stripe through our membership platform. Charges will appear on your statement as BUYERSDIRECT.CO. If a payment fails, we may retry it and may suspend or cancel your membership until it is paid.
4. Cancellation
You may cancel at any time from your account settings on the Site or by contacting us through the Support or Cancellations page or at help@buyersdirect.co. Cancellation stops future renewals. Your access continues through the end of the billing period you have already paid for. Except as stated in Section 5, fees already paid are not refunded when you cancel.
5. 30-Day Money-Back Guarantee and Refunds
If you are not satisfied, contact us at help@buyersdirect.co within 30 days of your first membership payment and we will refund that payment in full. The guarantee applies once per customer to the first payment of a new membership only. Renewal payments, and payments made more than 30 days before a refund request, are non-refundable except where required by law. Refunds are issued to the original payment method.
Please contact us before disputing a charge with your bank. We resolve refund requests quickly and a chargeback filed on a charge that is eligible for a refund may result in the closure of your account.
6. Acceptable Use
You agree not to: scrape, copy, export, or redistribute the buyer directory or any buyer contact information outside the Service; use buyer data for spam, unsolicited bulk messaging, or any purpose other than presenting your own products to those buyers; send abusive, misleading, or unlawful communications; misrepresent your products, business, or identity; attempt to gain unauthorized access to the Service or interfere with its operation; or use the Service to compete with BuyersDirect or build a competing database.
Retail buyers listed in the Service are independent businesses. Contact them respectfully and honor any request to stop communicating. We may suspend or terminate accounts that violate this section without refund.
7. Your Content
You keep ownership of the product information, images, and other material you submit (“Your Content”). You grant BuyersDirect a non-exclusive, royalty-free license to host, display, and distribute Your Content within the Service and to buyers for the purpose of operating the Service. You represent that you have the rights to Your Content and that it is accurate and does not infringe anyone else’s rights.
8. Our Content and Intellectual Property
The Site, the Service, the buyer directory, and all related text, design, software, and trademarks (including BuyersDirect™) are owned by Buyer Direct Profile LLC or its licensors and are protected by intellectual property laws. You receive only a limited, revocable, non-transferable license to use the Service for your own business during your membership.
9. Disclaimers
The Service is provided “as is” and “as available.” We do not warrant that the Service will be uninterrupted or error-free, that buyer information will be complete or current at all times, or that using the Service will result in any sales, orders, retail placements, or other business outcomes. Any results described on the Site are examples, not promises. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of Liability
To the fullest extent permitted by law, Buyer Direct Profile LLC and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising out of or related to the Service, even if advised of the possibility. Our total liability for any claim relating to the Service is limited to the membership fees you paid to us in the 12 months before the claim arose.
11. Indemnification
You agree to defend, indemnify, and hold harmless Buyer Direct Profile LLC from any claims, damages, and expenses (including reasonable attorneys’ fees) arising from Your Content, your products, your communications with buyers, or your breach of these Terms.
12. Termination
We may suspend or terminate your access if you breach these Terms, if your payment fails, or if we discontinue the Service. If we terminate for reasons other than your breach, we will refund the unused portion of any prepaid membership period. Sections 5 through 15 survive termination.
13. Governing Law and Disputes
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Any dispute that cannot be resolved informally will be brought exclusively in the state or federal courts located in Seminole County, Florida, and you consent to their jurisdiction. Each party waives any right to a jury trial and agrees that claims may be brought only on an individual basis and not as a class or representative action.
14. Changes to These Terms
We may update these Terms from time to time. We will post the updated version on this page with a new “Last updated” date and, for material changes, notify active members by email. Continued use of the Service after changes take effect means you accept the updated Terms.
